Frequently asked questions
Who should take the minutes of the members' meeting?
Usually the person appointed secretary at the opening of the meeting, often at the proposal of the chair. The minutes must then be signed by both the chair and the person who drafted them.
What happens if quorum is not reached?
The members' meeting cannot validly pass resolutions, but this fact must still be recorded in the minutes: the tool generates the document in this case too, noting that the meeting was not validly constituted and that no votes were held.
Is the generated minutes already valid?
No: it's a draft. It must be reviewed, updated with what actually happened in the members' meeting and signed by the chair and the secretary before being entered into the minutes book.
Where should the approved minutes be kept?
In the minutes book, one of the statutory books required for third sector entities (art. 15 Legislative Decree 117/2017).
What's the difference between an ordinary members' meeting and an extraordinary members' meeting?
This is determined by each association's articles of association: typically an extraordinary members' meeting decides on amendments to the articles or dissolution and requires higher quorum thresholds. Always check your articles of association before choosing.
Can I use this for a virtual members' meeting?
Yes, unless the Statute of your association expressly forbids it (art. 24 c. 4 Legislative Decree 117/2017, provided that the identity of those who take part and vote can be verified): state in step 1 whether the session was held in person, in mixed form or entirely remotely.
